Respect Intellectual Property Rights. “Intellectual property rights” are legal rights that people have in works they create or invent, including copyrights and trademarks, as well as rights to their name, likeness, image, or voice. Examples include photographs, videos, music (including song lyrics), logos (e.g., Nike), brand names or brand packaging (e.g., Coca-Cola), personal names and likenesses (e.g., celebrities), quotes and writings. Never post or share any content that includes these elements without obtaining written permission to do so from the third party who owns the rights. Advertiser will not be responsible for any failure by you to obtain all third-party clearances and permissions with respect to content you post.
Disclose Your Connection to Advertiser. When posting about Advertiser or its products or services, you must clearly disclose your “material connections” with Advertiser (i.e., the fact that your post is “sponsored by Client”) and include any hashtags such as #ad or #sponsored that are required by the FTC Guides or as directed by Advertiser. “Material connections” are any relationship between an influencer and an advertiser that could affect the credibility consumers give to the influencer’s statements. Examples of “material connections” include consideration (i.e., benefits or incentives such as monetary compensation, free products or services, in-kind gifts, or special access privileges) provided by an advertiser to an influencer. While Advertiser may provide recommendations for disclosures, Advertiser will not be responsible for any failure by you to comply with the FTC Guides.
Maintain Clear and Prominent Disclosure. The above disclosure should be made in close proximity to any statements about Advertiser or its products or services. The disclosure should be clear and prominent enough for consumers to view it when they read your posts. In addition, consumers should not be required to click on, scroll down or mouse over a link in order to view the disclosure. This disclosure is required regardless of any space limitations of the medium (e.g., Twitter), where the disclosure can be made via hashtags, such as #sponsored, #paid or #ad (preferably at the beginning of the tweet).
Give Your Honest and Truthful Opinions. Your statements should always reflect your honest and truthful opinions and actual experiences.
Only Make Factual Statements That Are Truthful and Can Be Verified. Only make a factual statement about the characteristics or quality of Advertiser’s products or services that you know for certain is true and can be verified. For example, do not make statements about the performance of a product unless you have support for such claims. Remember that even if you do not expressly state a fact, it may be implied, and these Guidelines apply to both express and implied messages.
Do Not Send Emails on Advertiser’s Behalf. Unless expressly requested to do so by Advertiser, you are not permitted to send any emails on Advertiser’s behalf, nor will you be compensated for doing so.
Comply with social media platform policies. You should comply with the terms, conditions, guidelines, and policies of any social media platform, app, or other service that you use. For instance, if a site’s terms state that it may not be used for commercial purposes, then you should not promote Advertiser or its products or services on that site.
Protect Your Personal Information. Keep in mind that your posts are public. Don’t share personal or sensitive information about you or your family that you may not want to make available to the public.
Respect Others’ Privacy. Do not include personal information about any third party that has not been voluntarily made available for you to share in your posts. This includes any information that may make it possible for someone to identify another person.
INDEPENDENT CONTRACTOR RELATIONSHIP:
Independent Contractor Relationship. The relationship of the Participants is that of independent contractors and this Agreement does not create any association, partnership, joint venture or agency relationship between them. Media Partner will not be eligible under this Agreement to participate in any vacation, group medical or life insurance, disability, profit sharing or retirement benefits or any other fringe benefits or benefit plans offered by Advertiser to its employees, and Advertiser will not be responsible for withholding or paying any income, payroll, Social Security or other federal, state or local taxes, making any insurance contributions, including unemployment or disability, or obtaining worker's compensation insurance on Media Partner’s behalf. Media Partner is solely responsible for, and will file, on a timely basis, all tax returns and payments required to be filed with, or made to, any federal, state or local tax authority with respect to the performance of the services under this Agreement. Media Partner shall be responsible for, and shall indemnify Advertiser against, all such taxes or contributions, including penalties and interest.
Media Partner Representations. Media Partner represents and warrants that he/she/they is/are customarily engaged in an independently established trade, occupation, or business of the same nature as the Services he/she/they will perform pursuant to this Agreement. Media Partner also represents and warrants that he/she/they maintain(s) his/her/their own business providing the same nature of Services he/she/they would perform pursuant to this Agreement. Media Partner further acknowledges that he/she/they has/have the sole right to determine the method and means of performing the services under this Agreement and Advertiser has no right to determine the method or means of Media Partner’s performance.
Responsibility for Expenses. Unless otherwise set forth in this Agreement, Media Partner shall furnish, at his/her/their own expense, the equipment, supplies and other materials used to perform services under the Agreement.
